Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2023, James A. McGinness III, the Acting Chief Financial Officer and Corporate Controller of MarketWise, Inc., a Delaware corporation (the “Company”), informed the Company of his decision to voluntarily resign. Mr. McGinness’s last day was February 17, 2023. Mr. McGinness’s resignation is not due to any disagreement with the Company, its board of directors, or its management, or any matter relating to the Company’s strategy, operations, policies, or practices.
