Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

CEO Succession

On August 10, 2022, our Chief Executive Officer, Jason Gardner, announced that the Company has initiated a search process to identify the Company’s next Chief Executive Officer. Mr. Gardner will assume the role of Executive Chairman once the new Chief Executive Officer is appointed.

Resignation of Chief Operating Officer

The Company announced Vidya Peters resigned as Chief Operating Officer of the Company on August 9, 2022. Ms. Peters’ resignation as an officer of the Company is effective as of the end of the day on September 3, 2022. The Company thanks Ms. Peters for her years of service.
