Item 5.02(e) Compensatory Arrangements of Certain Officers

On February 12, 2024, the Board of Directors of The Middlefield Banking Company, a wholly owned subsidiary of Middlefield Banc Corp., approved cash bonus payments to be made to President and Chief Executive Officer Ronald L. Zimmerly, Jr. ($26,240) and Executive Vice President and Chief Financial Officer Michael C. Ranttila ($20,066). The cash bonus payments were based on the Compensation Committee’s evaluation of certain individual and corporate performance objectives achieved during the 2023 fiscal year. The cash bonus payments will be paid no later than March 8, 2024.
