Item 2.02. Results of Operations and Financial Condition.

On April 24, 2025, MidWestOne Financial Group, Inc. (the “Company”) issued a press release announcing its earnings for the three months ended March 31, 2025. The press release is furnished herewith as Exhibit 99.1. In addition, the Company is providing a financial supplement furnished as Exhibit 99.2 to this Current Report on Form 8-K.

Item 5.07. Submission of Matters to a Vote of Security Holders.

The Annual Meeting was held on April 22, 2025. There were 20,815,715 shares of common stock outstanding as of the record date for the Annual Meeting, of which 18,191,107 were present in person or by proxy at the meeting, representing 87.39% of the outstanding shares eligible to vote. Three proposals were presented to the shareholders. The results of the shareholder vote on each of the three proposals were as follows:

A proposal to elect four individuals to serve as Class III members of the board of directors of the Company, with each director having a three-year term expiring in the year 2028.

The Board of Directors of the Company declared a cash dividend of $0.2425 per common share on April 22, 2025. The dividend is payable June 16, 2025, to shareholders of record at the close of business on June 2, 2025.
