Explanation of Responses:

1. Represents an award of restricted stock, pursuant to Rule 16b-3, which will vest in two equal annual installments beginning March 6, 2025. The number of shares was determined by dividing $25,000 by the closing price of the Company's Class D shares on March 5, 2024. The closing price on that day was $2.77.

2. The total represents all shares held by the reporting person across all classes of Urban One, Inc. stock, Classes A, B, C, and D.
