Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 25, 2026, Jeffrey Goldberg provided written notice to the chair of the nominating and governance committee (the “NGC”) of the board of directors of Modular Medical Inc. (the “Company”) that he will not stand for re-election as a director upon the expiration of his current term, which expires at the Company’s fiscal 2027 annual meeting of shareholders (the “Annual Meeting”). Mr. Goldberg’s decision to not stand for re-election was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On September 24, 2026, Carmen Volkart notified the chair of the NGC that she will not stand for re-election as a director upon the expiration of her current term, which expires at the Annual Meeting. Ms. Volkart’s decision to not stand for re-election was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
