Explanation of Responses:

1. These shares are represented by restricted stock units ("RSUs") granted on April 15, 2024 under Issuer's 2021 Equity Incentive Plan. Each RSU represents a contingent right to receive one share of the Common Stock of the Issuer. 25% of the shares underlying the RSUs vest on April 1, 2025 and 6.25% of the underlying shares vest quarterly on each March 15, June 15, September 15 and December 15 thereafter, subject to the Reporting Person's continuous service.
