Explanation of Responses:

1. Includes 14,000 shares of restricted stock under the Company's 2022 Employee Equity Compensation Plan, which stock restrictions will lapse pro rata in one-third increments on each of December 1, 2024, December 1, 2025, and December 1, 2026, subject to forfeiture in the event of termination of employment. Mr. Moseley retains voting rights over all the shares subject to forfeiture while in escrow.
