Other Event

On April 27, 2023, MRC Global Inc. (the “Company”) issued a press release announcing that it has postponed its current efforts to refinance its senior secured term loan B, which matures in September 2024, due to a lawsuit filed by Mario Investments LLC, an affiliate of Cornell Capital LLC, the sole holder of the Company’s 6.50% Series A Convertible Perpetual Preferred Stock. The lawsuit was brought against the Company in the Delaware Court of Chancery. The Company has determined to postpone the present refinancing efforts because the lawsuit has complicated the execution of the refinancing.
