Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 23, 2025, Mr. Wayne Edmunds informed MSCI Inc. (“MSCI” or the “Company”) of his decision to retire from the Board of Directors (the “Board”) of the Company and not stand for re-election at the Company’s 2025 Annual Meeting of Shareholders.

Mr. Edmunds has been a member of the Board since 2015, and currently serves on the Audit and Risk Committee of the Board and the Compensation, Talent and Culture Committee of the Board. His decision to retire is not due to any disagreement with MSCI’s management or the Board regarding the Company’s operations, policies or practices.

In connection with Mr. Edmunds’ retirement at the 2025 Annual Meeting of Shareholders, the Board intends to reduce its size from thirteen to twelve members.
