("AGM Holdings" or the "Company") (NASDAQ:AGMH), an integrated technology company specializing in the assembling and sales of high-performance hardware and computing equipment, received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") confirming that the Company has regained compliance with Nasdaq Listing Rule 5250(c)(1), which requires listed companies to timely file all required periodic financial reports with the U.S. Securities and Exchange Commission (the "SEC").

On May 18, 2026, the Company received a letter from Nasdaq indicating that, because the Company had not yet filed its Annual Report on Form 20-F for the fiscal year ended December 31, 2025, the Company did not comply with Nasdaq Listing Rule 5250(c)(1) for continued listing. On August 7, 2026, the Company filed the Form 20-F for the fiscal year ended December 31, 2025, with the SEC. Accordingly, Nasdaq has determined that the matter is closed.
