Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2026, Monica Bertagnolli notified the Board of Directors (the “Board”) of Natera, Inc. (“Natera” or the “Company”) of her intention to resign as a member of the Board and any committees of the Board, effective July 1, 2026, due to her new position with the National Academy of Medicine. Ms. Bertagnolli’s resignation was not a result of any disagreement with the Company on any matter relating to its operations, policies or practices.
