Item 8.01. Other Events.

On October 29, 2025, the Board of Directors of National Bank Holdings Corporation (the “Company”) declared a cash dividend to shareholders. The quarterly cash dividend of thirty-one cents ($0.31) per share on the Company’s common stock will be payable on December 15, 2025 to shareholders of record at the close of business on November 28, 2025. All subsequent dividends are subject to review and approval by the Company’s Board of Directors in its discretion. The decision of whether to pay any future dividends and the amount of any such dividends will be based on, among other things, the Company’s financial position, results of operations, cash flows, capital requirements, the requirements of applicable law and any other factors that the Board of Directors may deem relevant.

The press release issued by the Company in connection with the dividend is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.
