Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Douglas E. Jones, Neogen’s Chief Operating Officer, has communicated his intent to retire in early 2025. In preparation for Mr. Jones’ retirement, Neogen will reorganize certain functional reporting relationships and also will be adding an executive Chief Commercial Officer, who will be responsible for Neogen’s commercial organization, including global sales, marketing, and communications organizations. Neogen’s operations organization will transition to report to David H. Naemura, Chief Financial Officer. Mr. Jones will work closely with Mr. Naemura on this transition. Mr. Jones also will continue to lead the commercial organization until the Chief Commercial Officer role is filled and will oversee the transition of this function to his successor.
