Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 10, 2025, Eunkyung Sung notified the board of directors (the “Board”) of NET Power Inc. (the “Company”) of her decision to resign as a member of the Board, effective immediately. Ms. Sung’s decision was not due to any disagreement with the Company’s management or Board.
