Explanation of Responses:

1. Restricted Stock Units (the "RSU") were granted on August 5, 2026, with 80,000 RSUs vesting on September 1, 2027, and the remaining 80,000 RSUs vesting in four equal three month installments commencing on November 30, 2027, subject to the Reporting Person's continued service to the Issuer or its subsidiaries through each vesting date.
