1. Shares of common stock are owned by Tenedora Jacaru S.A. de C.V. ("Tenedora"). Mr. Ruiz Sacristan possesses the voting and investment power over the shares of common stock owned by Tenedora. Mr. Ruiz Sacristan disclaims beneficial ownership of such shares of common stock except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that he is the beneficial owner of such disclaimed shares of common stock for purposes of Section 16 or for any other purpose.
