| (1) The Reporting Person is deemed a director of the Issuer under Section 16(a) by deputization due to its designation and control over Douglas Davis, who serves on the Issuer's Board of Directors pursuant to rights granted under the Exchange Agreement dated January 26, 2026 (filed as Exhibit 1 to the Reporting Person's Schedule 13D filed on or about January 26, 2026). (2) The shares reported represent Ordinary Shares of the Issuer acquired by the Reporting Person pursuant to the Exchange Agreement in exchange for VisionWave common stock valued at approximately $2.74 million (subject to adjustments), representing approximately 19.99% of the Issuer's outstanding Ordinary Shares (fully diluted basis) as of March 5, 2026. The Reporting Person has sole voting and dispositive power over these shares.
