Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Directors.

This is an amendment to Item 5.02 of the Current Report on Form 8-K filed by NewAge, Inc. (the “Company”) on December 1, 2021 (the “Original Filing”), which reported that Judith Hammerschmidt had been appointed to the Board of Directors of the Company (the “Board”) effective November 30, 2021. At the time of the Original Filing, the Board had not made a determination regarding any committee assignments for Ms. Hammerschmidt. On December 6, 2021, the Board appointed Ms. Hammerschmidt to the Compensation Committee and the Nomination, Governance & Sustainability Committee of the Board effective immediately. Except as set forth herein, no other information in the Original Filing is amended.
