Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed, Regina Anne Harm stepped down from her role as President of Afton Chemical Corporation, a subsidiary of NewMarket Corporation (the “Company”), effective December 31, 2022. Ms. Harm will retire from the Company on August 1, 2023. On June 26, 2023, the compensation committee of the Company’s board of directors elected to waive the forfeiture of approximately 1,600 shares of performance-based stock (the “Shares”) held by Ms. Harm that would otherwise be subject to forfeiture upon her retirement. The Shares will not vest unless and until the applicable performance criteria are satisfied.
