Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 6, 2022, Elizabeth J. Comstock notified NIKE, Inc. (the “Company”) of her decision to resign as a director of the Board of Directors of the Company (the “Board”) effective as of the date of the Company’s 2022 annual meeting of stockholders. As a result, Ms. Comstock will not stand for re-election at such meeting. Ms. Comstock’s decision to resign is not because of a disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.

“We are grateful for Beth’s leadership and dedicated service as well as the countless contributions she has made to the Company for the past 11 years,” said Mark Parker, Executive Chairman of the Company. “We wish her the best in her future endeavors.”
