Other Events.

On September 18, 2023, Norwood Financial Corp announced that its Board of Directors had declared a quarterly cash dividend of $0.29 per share payable on November 1, 2023, to stockholders of record as of October 13, 2023. A copy of the press release dated September 18, 2023, announcing the dividend is included as Exhibit 99.1 to this report and is incorporated herein by reference.
