Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 8, 2025, Novanta Inc. (the “Company”) announced that Michele D. Welsh, General Counsel and Corporate Secretary of the Company, would no longer serve in those positions, effective on July 18, 2025, or such earlier date as may be agreed between Ms. Welsh and the Company. There are no changes to the severance that Ms. Welsh is entitled to receive pursuant to Section 4(a)(iv) of Ms. Welsh’s employment agreement dated July 11, 2022. The foregoing summary is qualified in its entirety by reference to the Employment Agreement, a copy of which is filed as Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on August 9, 2022, and incorporated herein by reference.
