Item 5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

	On August 7, 2026, Shane Harrison, Chief Financial Officer and principal financial officer of NRC Health, a Delaware corporation (the "Company"), tendered his resignation from the Company in order to pursue an outside professional opportunity. Mr. Harrison’s resignation is effective August 28, 2026. The Company has initiated a search process for a new Chief Financial Officer.
