Represents a grant of shares of restricted stock ("RSAs"). 20% of the RSAs vest on the trading day on which the 30-day volume-weighted average price of the Registrant's common stock, as quoted on the Nasdaq Capital Market, equals or exceeds $3.00, $3.75, $4.50, $5.25 and $6.00, subject to acceleration upon the consummation of a change of control transaction based on the per share price attributable to the Registrant's common stock for purposes of such transaction.
