Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2025, Brian Stevens submitted his resignation as a director of Nutanix, Inc. (the “Company”), effective as of June 16, 2025. Mr. Stevens' resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

The Board of Directors (the “Board”) of the Company would like to thank Mr. Stevens for his many years of valuable service on the Board and his many contributions to the Company.
