Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 23, 2021, Lucas Vitale, Senior Vice President, Chief Human Resources Officer of NuVasive, Inc. (the “Company”), notified the Company of his decision to resign, effective September 17, 2021. Mr. Vitale indicated that he is resigning to pursue another opportunity and not as a result of any disagreement with the Company, its management or its Board of Directors. The Company has commenced a search process to identify Mr. Vitale’s successor, including internal and external candidates. It is expected that the Company and Mr. Vitale will enter into a consulting agreement pursuant to which Mr. Vitale will provide consulting services to support the Company in the transition process for a period of time after the effectiveness of his resignation.
