Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 3, 2025, Alexander Hockman notified the Board of Directors of NV5 Global, Inc. (the “Company”) that he will resign from his position as the Company’s Co-Chief Executive Officer (“Co-CEO”), effective as of January 3, 2025. Mr. Hockman assumed the position of CEO of Infrastructure, reporting to Ben Heraud, currently serving as the Company’s other Co-CEO. Commencing January 6, 2025, Mr. Heraud began serving as the Company’s sole CEO with responsibility for the operations of NV5. Dickerson Wright will continue to serve as Executive Chairman of NV5, with responsibility for strategic organic growth initiatives and mergers and acquisitions activities.
