ITEM 5.02.

DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On November 7, 2025, the Board of Directors (the “Board”) of O-I Glass, Inc. (the “Company”) accepted the resignation of Eric J. Foss as a Director, effective immediately. Mr. Foss tendered his resignation pursuant to the Company’s Corporate Governance Guidelines as a result of a significant change in job responsibility, which occurred upon his appointment as Chairman and Chief Executive Officer of Primo Brands Corporation. Mr. Foss’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
