Departure of Certain Officers

On June 3, 2025, Mr. Alan R. Curtis announced his intention to retire as Senior Vice President and Chief Financial Officer of Oceaneering International, Inc. ("Oceaneering" or "us"), effective January 1, 2026 (the "Effective Date"). Oceaneering further announced that Mr. Michael W. Sumruld will join the Company as Senior Vice President of Finance on September 1, 2025, and is expected to succeed Mr. Curtis as Chief Financial Officer upon Mr. Curtis’s retirement from such position. Mr. Curtis will continue to serve in his current role through the Effective Date and has agreed to continue to serve Oceaneering in a supporting role during a transition period, if required to provide for an orderly transition of duties, following the Effective Date.
