Item 1.01 Entry into a Definitive Material Agreement.

On November 22, 2024, Onity Group Inc. (the “Company” or “Onity”) entered into agreements with Rithm Capital Corp. (“Rithm”) to renew the parties’ subservicing agreements as well as the agreement referred to by the parties as Rights to MSRs for terms ending January 31, 2026. The agreements will automatically renew on February 1, 2026 unless Onity provides notice of non-renewal by July 1, 2025 or Rithm provides notice of non-renewal by November 1, 2025. In connection with the renewals, the parties made changes to certain economic terms of the agreements including a reduction in Onity’s subservicing fees.
