Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 23, 2021, Mr. Rollin Kocher notified Onto Innovation Inc. (the “Company”), that he will be resigning from his position as Senior Vice President, Field Operations, as of September 6, 2021. Mr. Kocher’s decision to resign was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
