Item 8.01 Other Events.

On October 18, 2022, the Company issued a press release announcing that shareholders of Micro Focus International plc (“Micro Focus”) approved earlier today the terms of the previously disclosed all-cash offer by the Company to acquire the entire issued and to be issued share capital of Micro Focus. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
