Item 1.01 Entry into a Material Definitive Agreement

On April 23, 2025, Pacific Premier Bancorp, Inc., a Delaware corporation (“Pacific Premier”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Columbia Banking System, Inc., a Washington corporation (“Columbia”), and Balboa Merger Sub, Inc., a Delaware corporation and a direct, wholly owned subsidiary of Columbia (“Merger Sub”). The Merger Agreement provides that, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into Pacific Premier (the “Merger”), with Pacific Premier surviving the Merger (the “Surviving Corporation”), and immediately following the Merger, the Surviving Corporation will merge with and into Columbia (the “Second Step Merger”, and together with the Merger, the “Mergers”), with Columbia continuing as the surviving entity in the Second Step Merger. Promptly following the Second Step Merger, Pacific Premier’s wholly owned bank subsidiary, Pacific Premier Bank, National Association will merge with and into Columbia’s wholly owned bank subsidiary, Umpqua Bank (the “Bank Merger”), with Umpqua Bank as the surviving bank in the Bank Merger. The Merger Agreement was unanimously approved and adopted by the board of directors of each of Columbia, Pacific Premier and Merger Sub.

Subject to the terms and conditions of the Merger Agreement, at the effective time of the Merger (the “Effective Time”), each share of common stock, $0.01 par value per share, of Pacific Premier (“Pacific Premier Common Stock”) outstanding immediately prior to the Effective Time, other than certain shares held by Columbia, Pacific Premier or Merger Sub, will be converted into the right to receive 0.9150 of a share (the “Exchange Ratio”) of common stock, no par value per share, of Columbia (“Columbia Common Stock”). Holders of Pacific Premier Common Stock will receive cash in lieu of fractional shares.

At the Effective Time, each outstanding Pacific Premier equity award granted under Pacific Premier’s equity compensation plans will generally be converted into a corresponding award with respect to Columbia Common Stock, with the number of shares underlying such award adjusted based on the Exchange Ratio, other than options to purchase Pacific Premier Common Stock, which, whether vested or unvested at the Effective Time, will be cancelled and the holder thereof will be entitled to an amount in cash equal to (a) the number of shares of Pacific Premier Common Stock subject to such stock option, multiplied by (b) the excess, if any, of (1) the cashout price of such stock option (as specified in the Merger Agreement) over (2) the exercise price per share of such stock option immediately prior to the Effective Time. Each such converted Columbia equity award generally will continue to be subject to the same terms and conditions as applied to the corresponding Pacific Premier equity award, except that (i) in the case of Pacific Premier performance stock unit awards, the number of shares underlying the converted Columbia equity award will be adjusted based on the number of shares underlying the Pacific Premier performance stock unit award immediately prior to the Effective Time that would be earned assuming the achievement of the applicable performance goals based on target performance, with such converted awards continuing to vest after the Effective Time solely based on continued service and (ii) outstanding restricted stock awards granted to Pacific Premier’s non-employee directors will be converted into fully vested shares of Columbia Common Stock in accordance with the Exchange Ratio. Any outstanding stock options for which the exercise price per share is greater than or equal to the cashout price of such stock option (as specified in the Merger Agreement) will be cancelled at the Effective Time without consideration.

The Merger Agreement also provides that, at the Effective Time, three directors of Pacific Premier as of immediately prior to the Effective Time will be added to Columbia’s board of directors. Steven R. Gardner, the current Chairman, Chief Executive Officer and President of Pacific Premier is expected to be one of those directors.

The Merger Agreement contains customary representations and warranties from both Columbia and Pacific Premier, and each party has agreed to customary covenants, including, among others, covenants relating to (1) the conduct of its business during the interim period between the execution of the Merger Agreement and the Effective Time, (2) its obligations to call a meeting of its shareholders or stockholders, as applicable, to approve, in the case of Pacific Premier, the Merger Agreement and the transactions contemplated thereby (the “Pacific Premier Stockholder Approval”), and, in the case of Columbia, the issuance of shares of Columbia Common Stock to be issued to Pacific Premier’s stockholders in the Merger (the “Columbia Shareholder Approval”) and, subject to certain exceptions, for the board of directors of each of Columbia and Pacific Premier to recommend that its shareholders or stockholders, as applicable, vote in favor of such approvals, and (3) its non-solicitation obligations relating to alternative acquisition proposals. Columbia and Pacific Premier have also agreed to use their reasonable best efforts to prepare and file all applications, notices and other documents to obtain all necessary consents and approvals for consummation of the transactions contemplated by the Merger Agreement.

The completion of the Merger is subject to customary conditions, including (1) receipt of the Columbia Shareholder Approval and the Pacific Premier Stockholder Approval, (2) the filing of a notification of listing of the shares of Columbia Common Stock to be issued in the Merger in accordance with the Nasdaq Stock Market’s listing rules, (3) receipt of required regulatory approvals, including the approval of the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation and the Oregon Department of Consumer and Business, Division of Banking, (4) effectiveness of the registration statement on Form S-4 for the Columbia Common Stock to be issued in the Merger, and (5) the absence of any order, injunction, decree or other legal restraint preventing the completion of the Mergers, the Bank Merger or any of the other transactions contemplated by the Merger Agreement or making the completion of the Mergers, the Bank Merger or any of the other transactions contemplated by the Merger Agreement illegal. Each party’s obligation to complete the Merger is also subject to certain additional customary conditions, including (1) subject to certain exceptions, the accuracy of the representations and warranties of the other party, (2) performance in all material respects by the other party of its obligations under the Merger Agreement and (3) receipt by such party of an opinion from its counsel to the effect that the Mergers, taken together, will qualify as a “reorganization” within the meaning of Section 368(a) of the Internal Revenue Code of 1986, as amended.

The Merger Agreement provides certain termination rights for both Columbia and Pacific Premier and further provides that a termination fee of $75,000,000 will be payable by either Columbia or Pacific Premier, as applicable, in the event of termination of the Merger Agreement under certain circumstances.

The representations, warranties and covenants of each party set forth in the Merger Agreement have been made only for purposes of, and were and are solely for the benefit of the parties to, the Merger Agreement; may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Merger Agreement instead of establishing these matters as facts; and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Accordingly, the representations and warranties may not describe the actual state of affairs at the date they were made or at any other time, and investors should not rely on them as statements of fact. In addition, such representations and warranties (1) will not survive consummation of the Merger and (2) were made only as of the date of the Merger Agreement or such other date as is specified in the Merger Agreement. Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 23, 2025, the Board of Directors of Pacific Premier approved a Change in Control Bonus Agreement with Mr. Gardner, Pacific Premier’s Chairman, Chief Executive Officer and President, that provides for a lump sum payment to Mr. Gardner in the amount of $16.5 million (the “CIC Bonus”) upon the closing of the Merger, subject to Mr. Gardner’s continued employment until the closing of the Merger (the “CIC Bonus Agreement”). If Mr. Gardner’s employment is terminated without cause or he resigns for good reason, he will be entitled to the CIC Bonus upon the closing of the Merger. The CIC Bonus Agreement includes a non-compete restrictive covenant to which Mr. Gardner will be subject for two years following the closing of the Merger.
