Item 5.07. Submission of Matters to a Vote of Security Holders.
| (a) | Palmer Square Capital BDC Inc. (the “Company”) held its 2025 Annual Meeting of Stockholders (the “Annual Meeting”) on December 18, 2025. As of November 17, 2025, the record date for the determination of stockholders entitled to notice of, and to vote at, the Annual Meeting, 31,478,948 shares of common stock were eligible to be voted in person or by proxy. Of the eligible shares of common stock to be voted, 24,321,806 were voted in person or by proxy at the Annual Meeting. |
| (b) | At the Annual Meeting, the Company’s stockholders (i) elected two Class I directors to serve on the Company’s board of directors until the Company’s 2028 annual meeting of stockholders or until their respective successor is duly elected and qualified, and (ii) ratified the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025. The proposals are described in detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on November 20, 2025. The final results for the votes regarding each proposal are set forth below: |
