Item 8.01. Other Events.

On November 30, 2022, PAVmed Inc. (the “Company”) and its majority owned subsidiary, Lucid Diagnostics Inc. (“Lucid”) agreed to settle certain amounts due from Lucid to the Company through the issuance of shares of Lucid’s common stock to the Company. The transactions are described in more detail in the Current Report on Form 8-K filed by Lucid on December 2, 2022, which description is incorporated herein by reference.
