On June 12, 2024, the Board of Directors (the "Board") of Paychex, Inc. (the “Company”) was notified by David J.S. Flaschen of his decision not to stand for re-election to the Board at the Company’s 2024 annual meeting of shareholders. Mr. Flaschen did not cite any disagreement on any matter relating to the Company’s operations, policies, or practices. Mr. Flaschen has served as a member of the Board since 1999.
