Item 2.02 Results of Operations and Financial Condition.

On July 25, 2022, PetMed Express, Inc. (the “Company”) issued a press release announcing its June 30, 2022 first quarter financial results and other financial information, and that management would review these results in a conference call at 4:30 pm Eastern time on July 25, 2022. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

The Company is making reference to non-GAAP financial information in both the press release and the conference call. A reconciliation of these non-GAAP financial measures to the nearest comparable GAAP financial measures is contained in the attached press release.

Item 7.01 Regulation FD Disclosure.

Additionally, the Company announced in the press release that its Board of Directors declared a quarterly dividend of $0.30 per share on its common stock. The dividend will be payable on August 19, 2022, to shareholders of record at the close of business on August 12, 2022. The Company intends to continue to pay regular quarterly dividends; however, the declaration and payment of future dividends is discretionary and will be subject to a determination by the Board of Directors each quarter following its review of the Company’s financial performance.
