1. Shares issued upon vesting of restricted stock units ("RSUs") on April 29, 2025.

2. Surrender of common stock upon vesting of RSUs to satisfy tax withholding obligations.

3. Each RSU represents a right to receive one share of the issuer's common stock.

4. The reported RSUs vested in full on April 29, 2025.

5. Effective on July 1, 2024, the Issuer effected a 1 to 5 reverse stock split of its common stock (the "Reverse Stock Split"). The number of securities reported on this Form 4 has been adjusted to reflect the Reverse Stock Split.
