Explanation of Responses:

1. Sales were sold as part of same-day-sale exercise. The reported sales price is based on a weighted average of multiple same-day transactions with prices ranging from $36.80 to $37.625 per share. Full information regarding the number of shares sold at each separate price is available to the Securities and Exchange Commission, the Issuer or any security holder of the Issuer upon request.

2. Option is exercisable, commenting on the date indicated, as to 25% of such shares on each of the succeeding three anniversaries of such date.
