1. The reported transaction was affected automatically pursuant to a Rule 10b5-1(c) Plan entered into by the Reporting Person on November 25, 2024. Accordingly, the Reporting Person had no discretion with regard to the timing of the transaction.

2. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $44.47 to $45.11, inclusive.
