Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 30, 2021, Mr. Roberto Reiner informed PROS Holdings, Inc. (the "Company") of his intention to retire from the Company in January 2022. Mr. R. Reiner will continue to serve as Executive Vice President, Chief Technology Officer through the end of October 2021 and will remain employed with the Company in a non-officer role supporting transition activities until his retirement from the Company. The Company intends to execute on its succession plan by allocating Mr. R. Reiner's duties.
