ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On March 13, 2025, J. Phillip Holloman, a member of the Board of Directors (the “Board”) of PulteGroup, Inc. (the “Company”), informed the Board of his decision to not stand for re-election at the end of his current term at the Company’s 2025 annual meeting of shareholders scheduled to be held on April 30, 2025 (the “Annual Meeting”), due to other time commitments. Mr. Holloman’s decision did not result from any disagreement with the Company, its management or the Board on any matter, whether related to the Company’s operations, policies, practices or otherwise. The Board and the Company wish to thank Mr. Holloman for his years of dedicated service on the Board. In connection with Mr. Holloman’s decision to not stand for re-election, effective as of the Annual Meeting, the size of the Board will be reduced from eleven members to ten members.
