Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Retirement of Director

On April 3, 2023, General Peter Pace notified the Board of Directors (the “Board”) of Qualys, Inc. (the “Company”) that he would retire from the Board as of, and not stand for re-election at, the annual meeting of stockholders taking place on or about June 7, 2023. General Pace has served as a director of the Company since 2009. General Pace’s retirement is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
