Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $1.07 to $1.14, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price.

2. The reported shares are represented by restricted stock units, or RSUs, which vest as to 1/3 of the RSUs on the one year anniversary of the date of grant and 1/3 of the RSUs shall vest in annually thereafter, provided that the Reporting Person remains a Service Provider to the issuer on each such vest date.
