1. Nondiscretionary sale to cover tax liability associated with the vesting and settlement of restricted stock units.

2. This transaction was executed in multiple trades at prices ranging from $16.52 to $16.555, inclusive. The price reported reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request to the SEC staff, the Issuer or a security holder of the Issuer full information regarding the number of shares and prices at which the transaction was effected.

3. Includes 4,033 shares of common stock owned by Reporting Person's spouse and 233 held by Reporting Person's minor child. Reporting Person may be deemed to have a pecuniary interest in the securities due to family relationship.
