Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 26, 2021, Bruce E. Cryder notified Ramaco Resources, Inc. (the “Company”) of his decision not to stand for reelection to the Board of Directors of the Company (the “Board”) when his term expires at the Company’s 2021 Annual Meeting of Stockholders on June 23, 2021 (the “Annual Meeting”). Mr. Cryder’s resignation is not due to any disagreement with the Company. Mr. Cryder will continue to serve as a member of the Board until the Annual Meeting, when his resignation will be deemed effective.
