Item 8.01 Other Events.

As previously disclosed on a Current Report on Form 8-K filed with the Securities and Exchange Commission on June 30, 2022, Societal CDMO, Inc. (the “Company”) received a deficiency letter on June 27, 2022 from the Listing Qualifications Department of the Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that its common stock failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days as required by Nasdaq Listing Rule 5550(a)(2).

On August 18, 2022, the Company received a letter from Nasdaq confirming that the Company had regained compliance with Nasdaq’s minimum bid price continuing listing requirement as set forth in Listing Rule 5550(a)(2) and that the matter was now closed.
