Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On March 28, 2022, Brett Ritchie, Senior Vice President and Chief Accounting Officer of RE/MAX Holdings, Inc. (the “Company”), informed the Company of his intention to resign from his position. Mr. Ritchie has informed the Company that he intends to continue to serve in his current role, including as the Company’s principal accounting officer, until May 13, 2022. The Company intends to announce a successor to the role of principal accounting officer prior to Mr. Ritchie’s departure. Mr. Ritchie’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
