Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On November 1, 2022, RLI Corp. (“RLI”) filed a Current Report on Form 8-K (the “Initial 8-K”) disclosing the RLI Board of Directors (“Board”) had appointed Paul B. Medini as member of the Board. The Board has determined that Mr. Medini is an independent director under applicable rules of the New York Stock Exchange. At the time of the Initial 8-K, the Board had not determined Mr. Medini’s committee assignments.

This Current Report on Form 8-K/A amends the Initial 8-K to disclose that on February 9, 2023, the Board appointed Mr. Medini as a member of the Audit and Human Capital & Compensation Committees of the Board, effective February 1, 2023.
